Terms of Service

By creating an account, accessing, or using Nuvara Connect's website, mobile application, or any related services (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

We reserve the right to update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

Nuvara Connect provides a preventative aging and independence platform that includes:

• A Senior App for medication reminders, wellness check-ins, and daily scheduling.
• A Family Dashboard for monitoring a senior's wellness, receiving alerts, and coordinating care.
• A Caregiver Portal for professional caregivers to manage residents, tasks, and care notes.
• Aging intelligence tools including cognitive assessments, mobility tracking, and wellness scoring.

The Services are intended to support care coordination and wellness monitoring. They are not a substitute for professional medical advice, diagnosis, or treatment.

You must be at least 16 years of age to use our Services. By using the Services, you represent that you meet this requirement. If you are registering on behalf of a senior family member, you represent that you have the authority to do so and to agree to these Terms on their behalf.

Professional caregivers using the Caregiver Portal represent that they are authorized by their employing organization to access and manage resident data within the platform.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete registration information.
• Promptly update your information if it changes.
• Notify us immediately of any unauthorized use of your account at [email protected].
• Not share your account credentials with any third party.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe have been compromised.

Free Trial: New accounts include a 14-day free trial. No credit card is required to start. At the end of the trial, continued access requires a paid subscription.

Billing: Subscriptions are billed monthly or annually depending on your selected plan. Fees are charged in advance at the start of each billing period.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Price Changes: We may change subscription pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

You agree not to use the Services to:

• Violate any applicable law or regulation, including PHIPA and other privacy legislation.
• Upload or transmit false, misleading, or fraudulent health information.
• Access another user's account or data without authorization.
• Attempt to reverse engineer, decompile, or extract source code from the platform.
• Introduce malware, viruses, or other harmful code.
• Use the Services for any commercial purpose other than as expressly permitted.
• Harass, abuse, or harm any other user.

Violation of these restrictions may result in immediate account termination and, where applicable, legal action.

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and data models — are owned by Nuvara Connect Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You retain ownership of any personal health information and content you submit to the platform. By submitting content, you grant Nuvara Connect a limited, non-exclusive license to use that content solely to provide and improve the Services.

Your use of the Services is also governed by our Privacy Policy and PHIPA Compliance Statement, which are incorporated into these Terms by reference. Please review them carefully.

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including for violation of these Terms. Upon termination, your right to use the Services ceases immediately.

You may delete your account at any time through your account settings. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any wellness data, scores, or reports generated by the platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGEWELL CONNECT INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall be resolved exclusively in the courts of Ontario, Canada, and you consent to the personal jurisdiction of such courts.
